Terms of Service

Please read these Terms of Service ("Terms") carefully before using the services provided by Zentari Networks Ltd ("Zentari", "we", "us", or "our"). By accessing our website, submitting an enquiry, or entering into a service agreement with us, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1 Definitions

  • "Services" means any IoT/M2M SIM connectivity, eSIM provisioning, platform access, or related managed services provided by Zentari.
  • "Customer" / "you" means the business or individual entering into a service agreement with Zentari.
  • "Platform" means the Axis dashboard and any associated APIs, portals, or tools provided by Zentari.
  • "Agreement" means these Terms together with any order form, service schedule, or statement of work agreed between the parties.

2 Use of Our Website

By accessing zentarinetworks.com you agree to use it only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

  • Attempt to gain unauthorised access to any part of our site or systems.
  • Introduce viruses, trojans, or other malicious code.
  • Scrape, harvest, or systematically download content from our website.
  • Submit false or misleading enquiries.

3 Services & Service Agreements

All connectivity services are subject to a separate written service agreement or order form. These Terms apply to that agreement except where expressly superseded in writing. Key points:

  • Services are provided to businesses (B2B) only. You confirm that you are acting in the course of a business.
  • SIM cards and eSIM profiles remain the property of Zentari and/or its network partners at all times.
  • You are responsible for ensuring that the devices on which our SIMs are used comply with applicable law and network operator policies.
  • Data allowances and fair-use policies are set out in your service schedule. Zentari reserves the right to apply traffic management in accordance with its network agreements.

4 Acceptable Use

You must not use Zentari services to transmit, store, or facilitate any content or activity that:

  • Is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Violates any third-party intellectual property rights.
  • Constitutes unsolicited bulk communications (spam).
  • Interferes with the integrity or performance of any network or system.
  • Is used for consumer retail purposes unless expressly agreed in writing.

Breach of this clause may result in immediate service suspension without notice.

5 Billing & Payment

  • Fees are invoiced monthly in arrears (or as specified in your order form) and are due within 30 days of the invoice date.
  • All prices are exclusive of VAT unless stated otherwise. VAT will be charged at the applicable UK rate.
  • Late payments may incur statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
  • Zentari reserves the right to suspend services if invoices remain unpaid for more than 14 days beyond the due date.

6 Intellectual Property

All content on this website — including text, graphics, logos, and software — is the property of Zentari Networks Ltd or its licensors and is protected by UK and international copyright law. You may not reproduce, distribute, or create derivative works without our prior written consent.

The Axis platform, branding, and associated technology are proprietary to Zentari. No licence to any intellectual property is granted by these Terms other than the limited right to use the services as expressly provided in your service agreement.

7 Limitation of Liability

To the fullest extent permitted by law:

  • Zentari's total aggregate liability to you shall not exceed the total fees paid by you to Zentari in the 3 months preceding the event giving rise to the claim.
  • Zentari shall not be liable for any indirect, consequential, special, or punitive loss, loss of profit, loss of revenue, or loss of data.
  • Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other matter that cannot be excluded by law.
Connectivity services depend on third-party network infrastructure. Zentari does not guarantee uninterrupted or error-free service and is not liable for outages caused by network operators.

8 Termination

  • Either party may terminate a service agreement by giving the notice period specified in the applicable order form (typically 30 days).
  • Zentari may terminate immediately if you breach these Terms materially and, where the breach is remediable, fail to remedy it within 14 days of written notice.
  • On termination, all SIM cards and eSIM profiles must be deactivated. Outstanding fees remain due.

9 Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that Zentari may seek injunctive or other equitable relief in any jurisdiction.

10 Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page will reflect any changes. For existing customers, material changes will be communicated with at least 30 days' notice via email or the Axis platform. Continued use of the services after that period constitutes acceptance of the revised Terms.
